Terms & Conditions
Last updated: 15 October 2026At a glance
- These terms apply to anyone using golden-leverage.com and to every service we provide, together with the specific terms of the package you choose.
- Golden Leverage acts as your procurement agent and adviser. We are not the manufacturer or seller of the goods; your purchase contract is with the supplier unless agreed otherwise in writing.
- Fees, scope and timelines are confirmed in writing before work starts. Prices on the website are indicative.
- These terms are governed by the laws of Hong Kong. The English version prevails.
1. About these terms
These Terms & Conditions (the "Terms") are issued by Golden Leverage Asia Limited, a company established in Hong Kong with its office at Unit D1, Block A, 4th Floor, Alexander Industrial Building, 23-27 Wing Hong Street, Lai Chi Kok, Kowloon, Hong Kong ("Golden Leverage", "we", "us" or "our").
They apply to your use of golden-leverage.com in every language (the "Website") and form part of every engagement between you and us. By using the Website, submitting a form or accepting a proposal, you agree to these Terms. If you act for a company, you confirm that you are authorised to bind it.
2. How our documents fit together
Each engagement is governed by the following documents, which together form the agreement between you and us:
- the written proposal, quotation or engagement confirmation we issue for your project;
- the specific terms of your package: the Sourcing Starter Pack, the Dedicated Procurement Agent or the Consultancy & Strategy Audit, as also summarised in our Terms of Service;
- these Terms; and
- our Privacy Policy, which explains how we handle personal data.
If these documents conflict, they apply in the order listed above. Any terms in your purchase orders or other documents do not apply unless we accept them in writing.
3. Using the website
We grant you a limited, non-exclusive right to use the Website for your own business purposes. You agree not to:
- use the Website in a way that breaks any law or infringes anyone's rights;
- submit false, misleading or automated (spam) information through our forms;
- attempt to gain unauthorised access to the Website, our systems or any tracking information that is not yours;
- copy, scrape or reuse our content for commercial purposes without our written permission;
- introduce viruses or any harmful code, or interfere with the Website's security or performance.
We may suspend access to the Website or block submissions that we reasonably believe breach these Terms. We aim to keep the Website available and accurate but do not guarantee that it will be uninterrupted or error-free.
4. Information on the website
Articles, guides, market insights, the website assistant's answers and other content on the Website are provided for general information only. They are not legal, tax, customs or financial advice and should not be relied on without professional advice for your specific situation.
Prices, timelines and package descriptions shown on the Website are indicative and do not constitute a binding offer. A contract is formed only when we confirm an engagement in writing or when you pay an invoice that refers to a confirmed scope.
5. Our role
Golden Leverage provides procurement services: supplier sourcing, validation and benchmarking, negotiation support, production follow-up, quality coordination and procurement consultancy.
- We act as your agent and adviser. We are not the manufacturer, seller, exporter or carrier of the goods.
- Unless agreed otherwise in writing, your purchase contract for goods is concluded directly between you and the supplier, and title and risk in the goods pass according to that contract and the agreed Incoterms.
- We use reasonable skill and care to select and monitor suppliers, but we do not guarantee a supplier's performance, solvency, delivery dates or product compliance.
- Factory audits and inspections reduce risk but are based on samples and on the conditions at the time of the visit. They cannot guarantee that every unit is free from defects.
6. Your responsibilities
To allow us to deliver our services, you agree to:
- provide complete, accurate and timely information, specifications and approvals;
- make sure the products you buy comply with the laws, safety standards, labelling and certification requirements of your destination markets;
- hold the necessary rights to any designs, trademarks or technical files you give us, and authorise us to share them with suppliers for the purposes of your project;
- obtain any import licences and pay duties, taxes and charges in the destination country, unless agreed otherwise;
- keep your tracking codes and project documents confidential.
Delays or extra costs caused by incomplete or changing information are your responsibility.
7. Fees and payment
- Fees are stated in US dollars unless agreed otherwise and are set out in your package terms or proposal.
- Unless otherwise agreed, fees are payable in advance, before work starts. Bank charges, currency conversion costs and taxes are borne by the client.
- Payments can be made by bank transfer or by card through our secure invoice payment page, operated with Stripe. We do not store card details.
- Payments to suppliers for goods are made according to the purchase contract and are separate from our service fees, unless your engagement says otherwise.
- We may suspend work on overdue invoices. Fees for work already performed remain payable.
- Refunds are governed by the terms of your package. Fees are generally non-refundable once work has started.
8. Online forms and request tracking
When you submit a form on the Website, you confirm that the information is accurate and that you are entitled to share it. A form submission is a request and does not create a contract until we confirm it.
For active requests we may give you a private tracking code to follow progress on our Track Request page. Status information is provided for convenience, may be updated with some delay and does not replace our written reports. Anyone who has your code can see the status of the request, so keep it confidential and tell us if it has been disclosed.
9. Intellectual property
The Website, our brand, texts, graphics, reports, templates and methodologies are owned by Golden Leverage or our licensors and are protected by intellectual property laws.
Deliverables prepared for you (such as supplier reports and audit reports) remain our property until all fees are paid. Once paid, you receive a non-exclusive, non-transferable licence to use them for your internal business purposes. You keep all rights in the materials you provide to us and grant us a licence to use them to perform our services.
10. Confidentiality
Each party will keep confidential the other party's non-public business, technical and financial information and use it only for the engagement. This obligation does not apply to information that is public, already known, independently developed or required to be disclosed by law. We will share your information with suppliers and partners only as needed for your project, and we can sign a separate non-disclosure agreement on request.
We handle personal data as described in our Privacy Policy.
11. Limitation of liability
- Our total liability arising out of or in connection with any engagement, whether in contract, tort (including negligence) or otherwise, is limited to the service fees you paid to us for that engagement in the twelve months before the event giving rise to the claim.
- We are not liable for any loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- We are not liable for acts or omissions of suppliers, manufacturers, carriers, inspection agencies or other third parties, for product defects, or for changes in market prices, tariffs or regulations.
- Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.
12. Indemnity
You agree to indemnify us against claims, losses and costs arising from your breach of these Terms, from inaccurate information you provide, or from any claim that designs, trademarks or materials you supplied infringe a third party's rights.
13. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, sanctions, port or customs closures, strikes, power or internet failures, or major disruptions of supply chains. The affected party will inform the other party promptly and take reasonable steps to limit the impact.
14. Suspension and termination
Either party may end an engagement by written notice if the other party materially breaches it and does not remedy the breach within 14 days, or becomes insolvent. You may also end an engagement as provided in your package terms. On termination, fees for work performed and costs committed up to the termination date remain payable. Clauses that by their nature should survive termination, including confidentiality, intellectual property and limitation of liability, continue to apply.
15. General
- Notices: we may communicate with you by email; notices to us must be sent to contact@golden-leverage.com.
- Changes: we may update these Terms from time to time. The version published on the Website when you submit a request or accept a proposal applies to that engagement.
- Language: these Terms are available in several languages; if there is any difference, the English version prevails.
- Entire agreement: the documents listed in section 2 form the entire agreement for an engagement.
- Severability: if any provision is found invalid, the rest remains in force.
- No waiver: a delay in exercising a right does not waive it.
- Assignment: you may not transfer your rights without our written consent.
- Third parties: no one other than you and us may enforce these Terms under the Contracts (Rights of Third Parties) Ordinance (Cap. 623).
16. Governing law and disputes
These Terms and any engagement are governed by the laws of the Hong Kong Special Administrative Region. The parties will first try to resolve any dispute in good faith through discussion between senior representatives within 30 days. If the dispute is not resolved, it will be submitted to the exclusive jurisdiction of the courts of Hong Kong.
